Filing under the Ontario Business Corporations Act requires the incorporator's verified identity through the Ontario Business Registry, a paid NUANS name reservation, signed director acknowledgements, and confirmation of a registered office address in Ontario. Reserve the corporate name (NUANS)

Order a NUANS preliminary report for ClearGlass Inc. and any required variants. Confirm there is no conflicting Ontario or federal corporate name, business name, or trademark.

Finalize Articles of Incorporation (Form 1 OBCA)

Confirm details against the working draft at /legal/articles.html:

  • Corporate name and English/French version
  • Registered office address in Ontario
  • Minimum / maximum number of directors
  • Share structure and restrictions on share transfer
  • Business restrictions (if any)

Submit the filing via the Ontario Business Registry

Authenticate with a ServiceOntario / ONe-key account. Upload Form 1, the NUANS report, and pay the incorporation fee. Capture the resulting Ontario Corporation Number (OCN) and the issued Certificate of Incorporation.

Hold the organizational meeting

Sign the Initial Directors' Resolution, adopt the Bylaws, issue founders' shares per the Share Subscription, sign the IP Assignment and Banking Resolution. Templates live at /legal/.

Open the minute book and record the share register

Store originals of all signed documents in the minute book. Record the share ledger entries reflecting founders' issuances. Keep the book at the registered office or with corporate counsel.

Register tax and payroll accounts

Apply for the CRA Business Number, register for GST/HST, and open payroll (RP) and corporate tax (RC) program accounts. Capture the BN and remit access for the Stripe handoff.

Update public corporate footprint

Once the certificate is issued, update the corporate footer block, the homepage hero line, and the legal hub statistics to reflect the OCN and incorporation date. Mark this handoff complete on the procurement readiness hub.

ClearGlass Inc. does not sign client contracts, vendor agreements, or banking documents in the corporate name until the Ontario Certificate of Incorporation has been issued and recorded in the minute book. Pre-incorporation activity is conducted personally and ratified later.
